Business Q&A // Should I be a Sole Prop or an LLC?

During every business coaching session and workshop, when talking about “getting legit” the first question is usually this:

 

“What is the difference between an LLC and a Sole Prop?  Which is right for me?”

 

LLC Definition: Like a corporation, a limited liability company or “LLC”, is a separate and distinct legal entity. This means that an LLC can obtain a tax identification number, open a bank account and do business, all under its own name. The primary advantage of an LLC is that its owners, known as members, have “limited liability”, meaning that, under most circumstances, they are not personally liable for the debts and liabilities of the LLC. For example, if an LLC is forced into bankruptcy, then, absent special circumstances, the members will not be required to pay the LLC’s debts with their own money. If the assets of the LLC are not enough to cover the debts and liabilities, the creditors generally cannot look to the members, managers or officers for recovery.

An LLC can be taxed either as a “pass-through” entity, like a sole proprietorship or partnership, or as a regular corporation. By default, an LLC is taxed as a pass-through entity, and the owners of the LLC are not subject to double taxation. With an LLC, the members have the option to have the profits “pass through” to the owners who pay taxes at their individual tax rates.

Sole Proprietorship Definition: The sole proprietorship is the simplest business form under which one can operate a business. The sole proprietorship is not a legal entity. It simply refers to a person who owns the business and is personally responsible for its debts.

ANSWER:

Technically speaking there is a number of differences in the corporate world and beyond with regard to how many members you can have, formalities of meetings, etc.  For the specifics of a single owner/operator of a photography business the most basic different is this:

In a Sole Prop you are personally liable for whatever happens. Unlike the LLC, if you go bankrupt it is all you. Not just your business because you are your business. That can be very harsh on you and your own personal credit.  Odds are if your business is in debt, you had to personally co-sign to acquire the line of credit anyway, so LLC or not, you would still be liable.

 

BOTH Sole Prop & Single Member LLCs:

Are reported on your personal federal Tax Return on a Schedule C:  Profit & Loss for Business.

Are subject to Self-employment taxes from net income (after being calculated on your Sch C).

 

99.9% of any concern over whether or not one should be an LLC or a Sole Prop has to do with what assets you will lose if you get sued.

 

So…. how about you don’t get sued? Problem solved right?

What are some reasons a client can sue you?

Card Failure? Act of God? Catastrophic emergency? Accidentally damaging property?

 

Refer to your contract

If you start your relationship off with your clients with an excellent contract, then there is no reason to go beyond the terms of that agreement you both signed. Be sure your contract covers what will happen in those worst case scenarios. What will you offer your clients in the event of a card failure and their wedding images are lost? (This would also assume that you had NO secondary back up images, or second shooter, or that the entire wedding was shot on one card and now they are gone – ALL of this is an extremely SLIM chance because as a professional working photographer, you would establish good business practices and would not allow for THIS many unprotected holes to go untidy.) BUT – assuming there were THIS many holes, and you lose the wedding, and you get sued…..

 

What does your contract say? Does it say that you are liable for the return of all funds paid? Does it say that any disputes go to mediation? Does it say that on top of a refund, you will offer a portrait session as restitution?

 

So….. Get a good contract. But also….

 

Establish good business practices. Look out for your client’s best interests. Give GREAT customer service. Cultivate your business.

 

Is it raining when your family portrait session at the beach is scheduled and it is the ONLY time the entire family will be together and they don’t want their session in the rain? You might want to consider your client’s best interests and offer them a refund or another type of session as compensation. If not, they might want to sue you for NOT giving them a refund OR service.

 

Did you have a camera malfunction at that wedding? Then by all means do everything in your power to compensate that bride. Don’t be stingy. It’s her WEDDING. Give her family a free session, offer an After the Wedding session, upgrade her album with extra pages for the images you DO have. Don’t wait for her to sue you. Give her EXCELLENT customer service.

 

If not, they might want to sue you for NOT giving them a refund OR service. In the end it boils down to the contract you have both signed and what you agreed to what would happen.

 

Not so much on whether or not you are an LLC or a Sole Prop.

Running a business while running after your children // Tips for the Work from home Moms

The most popular question among Momtrepreneurs: “How do you make time for it all?” I remembered an article I wrote for the Pursuit 31 blog about 2 years ago on this very topic. Rereading it, I was happy to say that this system still applies to me and my family today and it has stood the test of time a handful of years later. Working full time from home has been an amazing blessing to my family over the years and although some days are harder than others, having systems in place has helped manage our household and business tremendously.

 

Maybe this is your day:

7 am – Wake up, run around like a chicken and be drill sergeant for the kids, make breakfast, find shoes, where’s homework, check teeth, somewhere in there, clean yourself up, and grab a cup of coffee.

9 am – Take first sip of now cold coffee, check email (cuz ya know, that’s all kinds of business related)

10:30 am – Console the shock and horror that it’s been 90 minutes and you’re still reading email (ahem – now Facebook, cuz ya know, THAT is totally business related – i.e. SOCIAL media marketing, right?)

11:00 am – Make an out loud verbal promise that I will do X today!

12:00 pm – well, It’s been an hour, gotta check email again. Surely all of those emails you sent earlier will have replies by now.

Wow….it’s lunch time. The little ones are rowdy. You have major mom guilt for not being able to have done anything with them all morning. You haven’t accomplished a thing really and now feel guilty that you have wasted half your day.

Soooo….. 1 pm it’s regroup time. Kids are fed, you grabbed a yogurt for your totally late breakfast and it’s time to get some real work done.

First….check email, right?

ARGH – How is it 5 pm? You hadn’t planned anything for dinner, you haven’t spent any time with the kids, haven’t gotten any work done to show for anything, you feel guilty, you’re tired, and now feel like a complete failure and wasted your entire day?

 

Does this sound familiar to anyone at all? Anyone?

If so, keep reading.

If not…., PLEASE write a book and tell the world how you were able to skip this part – it will be a best seller for sure!

I’m totally serious!
Bottom line is = You can’t get it ALL done. Not all by yourself anyway. Oh you CAN, if it’s with great sacrifice to either your family or your work. Or carrying loads of stress and guilt and feeling like you are always disappointing someone BUT at least you accomplished your To-Do list, right?

So rather than sacrifice either family or business, the answer I’ve found is to bring in re-enforcements and create systems, systems, systems. By now, I think I’m starting to have systems for my systems.

You can start by delegating, outsourcing, prioritizing, and most of all…….be OK with not having finished everything today, or this week, or this month. That was the hardest for me since I am a “finisher”. I couldn’t mentally rest until I knew I was “finished” with my work – whatever the heck that meant for the day.

 

Let’s face it – things happen. You may fall short of your goal today. But that’s OKAY. Because it probably meant that you had to shift your priorities and make a decision that was going to change the course of your day. When I have a plan for the day, and then intentionally make a decision to change it because XYZ happened, that feels WAY different than, oops I didn’t get everything done, and now I feel like a failure. 

 

Maybe you’re thinking…..’That’s great, but………HOW do we do this?’

I usually start by keeping 3 lists:

1. Long-term projects list

2. Bi-weekly task list

3. Daily to-do
If you have followed my blog for sometime, you will know – I LOVE GOOGLE Organization. It has saved me on so many occasions.

I keep the first two lists as a Google doc shared with my husband and other staff. My husband and I also share a Google Calendar. It’s color coded for personal, ministry, photography, business, dinner. Yes, I even do my meal planning as an event in my google calendar.

EVERYTHING goes on the calendar. From dentist appointments, scheduled days off, birthdays, holidays, playdates, blocked off family weekends, social events, photoshoots, weddings, volunteer schedules, house projects, family work days and bar-b-ques with friends. A-n-y-thing. Since it’s shared with my husband, he has access to it at any time and can easily add his own appointments and projects without having to worry about a conflict.

 

As a busy household, we have found this rule is key:

If you don’t MAKE time for it, you won’t FIND time for it.

 

So what does this look like with every day tasks?

1. “Long-term projects” are anything that is on the radar that is not pressing. Usually to do with website updates, new marketing ideas, side projects or blog post ideas. If it’s something I don’t have to be directly involved in, I’ll assign it so someone else so they can put it on THEIR to do list. If not, it goes on mine.

2. “The bi-weekly task” list goes along with our payroll schedule to keep things easy and consistent. As we go along, if we think of anything that needs to be done during this time, we put it on the list. If it doesn’t need to be done within these two weeks, it goes to Long Term Projects.

3. “Daily To – Do”  is stuff I need to get done TODAY. I’ll jot it down on my little paper notebook. As much as I adore technology, there’s nothing like taking pen to paper and crossing things off a list. Then I can feel like I FINISHED it….right? Items might include: Go to bank, take out chicken, edit session, write this blog post, pack kid lunches, you get the idea.

Now…what happens when your 4 year old spikes a fever in the middle of the day? Well, the To-Do gets reevaluated quickly and gets shifted around to the bi-weekly task list on different days. The bank can wait until tomorrow. I’ll order pizza instead of making dinner. I can write during naptime after the meds kick in. I will edit after hours. Hopefully there’s enough time left for a shower and actually EAT the food I just ordered and before I need to leave for my other child’s school play. Life happens. And it’s a lot easier to shift the gears of a well organized plan than it is to feel like you are drowning and never going to be able to accomplish anything.

I’ll deal with tomorrow’s list…..tomorrow. But for today I can feel like I accomplished something even though it wasn’t in my original plan. Having a system in place helps to manage those unexpected things that come up when being a mom has to take immediate priority over today’s business. It also helps keep me somewhat sane so when my husband comes home at the end of the day, that I don’t feel like I’m on my last nerve hanging on by a thread waiting for him to walk in the door to tag in and rescue me from the chaos. Oh this happens, TRUST ME – EVERY parent has those days! But it’s not the “normal” day if I’ve done what I could to manage the day better.

 

ONLINE TIME TAKING TOO MUCH TIME? 

 

I recently implemented a WONDERFUL new tip I learned about email and online time = No email or social media before lunch. This way you can hit the ground running bright and early and get some actual work done. If email starts to get the best of you, at least you have already accomplished a bunch of tasks first thing in the morning. Still trying to break this habit myself, but when I do stick to this, it frees up LOADS of time.

Urbans on the road

We rounded the corner and the hillside opened up before us. Panoramic sweeping views of green pastures, weeping willows swaying with the wind, and the smell of…. cows and all that comes with it. He inhaled a deep breath and smiled like a giddy teenager. Then exhaled the stress of the world and adjusted his seat back while I chauffeured him around for a driving tour of the countryside.

That’s right folks, the Urbans are on vacation. Well, we are kind of all over the place, but it totally counts.

Harmony is spending a week at Tel Hai Camp in local Lancaster, so Steve and I decided to hang around rather than make the 6 hour round trip trek twice. That and the overprotective Daddy didn’t want to leave his little girl in another state while we all continued on with life, so here we are, on a welcomed break in the countryside. Greyson is trying out some quality alone time with his grandparents and me and the mister are inhaling the slower pace (and shoofly pies)!

A portrait session with 6 year old Greyson

He wanted his own portrait session. He wanted to pick his outfit and do his own hair “handsome”. For me it was a personal challenge. I have a VERY hard time photographing my own kids. There must be something about being in “mom mode” vs. “work mode” that I get in a zone and turn all photographer on them and suddenly Mommy is just taking another picture of them and suddenly I’m making them crazy. So trying to photograph a distinguished portrait of my very active 6 year old son was almost laughable. I was curious if he would actually take direction and sit still long enough to get more than just a quick snap. But an actual portrait.

Thankfully, we worked it all out (quickly). There is something about being able to look into your child’s eyes in a portrait that you just aren’t able to see in person. When I was editing these portraits I didn’t see my 6 year old son, but I saw this teenage boy/ young man (almost) staring back at me and it was very surreal. Almost mature somewhere in there.

People ask me all the time if I buy school photos or if I just take my own. I actually do buy all of the school photos because I feel like those are for them. The day they lined up with all of their classmates using that dreaded comb and standing in that awkward pose. That is a memory for them more than it’s a picture for me.

 

These portraits…… these are for me. For our family’s keepsake. These are the portraits of him that will tell the story of our family.

 

These are the portraits I will print and frame and cherish and show his wife one day. The one they will whip out when his own daughter has a child and everyone is trying to determine who’s eyes the baby has.

 

This is that portrait. And I pray I get to be there when that conversation happens. To tell them the story of the day that Greyson wanted his own portrait session. To pick out his own outfit and do his own hair “handsome”.

 

My handsome little mister is growing up. And if I don’t stop typing now, I’ll never be able to hit publish. GAH! Where’s the tissues?

Location Series // Part 4: The Studio with Angelsea Urban

“Where should I have my session?” is one of the top questions I hear from clients. I am thrilled to be part of this planning process and love when clients put great thought into their portrait sessions. Since transitioning from wedding and portrait photography to exclusively working with portrait clients, it’s become my mission for families to have an amazing experience just as important as their wedding. People will often plan for months for weddings and put forth great effort to that special day, and it’s a goal of mine to have your Family Portrait Experience be as significant as your wedding portraits. 

Redefining the Family Portrait Experience is about being intentional with your portrait session as much as your creating your final portraits. Through the Story of Family Experience we spend a great deal of effort carefully choosing location, attire, and hair style, but also spending ample time preparing your heart just as much with a series of activities that we will discuss in detail during your consultation.

I am thrilled to wrap up this location series in showing examples of each of the most requested locations for you to have your portrait session.

Part 1 of this series explained the differences of photographing clients at The Beach during the day verses evening. You can read Part 2: The Park post here.  Last week we compared the locations of ANYWHERE, meaning it could be a backyard or parking garage, to SOMEWHERE special, a place that hold deep meaning. You can read Part 3: Anywhere or Somewhere Special here. 

 

Today we’ll be looking at the differences of being photographed in the Barnegat Studio.  

 

To recap – here are some of the things that I like to take into consideration when talking to clients about where they should be photographed.

When you choose a piece of art for your walls, whether it be a painting or frame or tapestry, you are careful to be sure the textures, colors, and sizes will conform to your personal taste in your home. All the more reason to carefully plan the same for your custom family portraits.

“Where should we go for the photoshoot?” is always an important question when planning your experience.  Ideas such as the beach or the park are wonderful, but my goal with this blog series is to show the subtle differences in common locations so that you can choose a location that works perfectly for your family photography experience.
Key questions to ask yourself:

1. Where will these portraits be displayed? 

Will they be in the family room? What color is the room? What style is it? Rustic? Cottage? Industrial? The purpose behind capturing the photos should be for intentionally cultivating the relationships and preserving them through photography, but they are ultimately meant for display, so thinking about where they will be showcased is a key component.

I recently had a client execute this in the most perfect way. They have a sea glass green colored casual family room where they envisioned their family portraits to one day hang. We planned their session at the beach, earlier in the day to get the correct colors. When they received their final product order, including a series of large canvases, they blended perfectly into their room, picking up the colors from the sand and ocean, matching the walls, curtains, decorative bottles and sailboats. 

2. Is there a place or activity that is special, sentimental or significant to the people that will be in the photographs? 

Is your favorite family past time to go the beach? Do you spend every Sunday at the park? The boardwalk? And if so, do you want that location to have a voice in this event – or do you simply want to incorporate the colors or textures? Do you envision your children frolicking in the sand? Picking flowers? Throwing leaves?

You and your family will always be the focus and priority of the photography experience. The activities and memories shared during the session will be directly affected by the location you choose.

 

Newborn Portraits

The first collection of portraits below are from newborn sessions. I strongly feel that newborn portraits should be a family experience. Yes we can put your baby in a cocoon or in a vintage crate if that is what your heart desires, but years from now, that child will likely be more embarrassed by that picture than cherish it. We love the baby in the flower pot, it is adorable and we just want to pick them up and squish them. That one is for you to gush at. But those portraits are not cherished as much as the one looking into your child’s eyes. Or the two of you in an embrace. That is the photo your child will cherish as an adult. When Daddy held me like that. When my mother looked so young. We concentrate most of our session together on these portraits.

Newborns sessions can be tricky. They need a specific temperature, limited clothing to touch their skin, personal contact, low noise, white noise, heated blankets, etc. The benefit of having your newborn portrait session at the studio is all of these things are provided for you. You just roll out of bed in your foggy state and arrive and we take care of the rest. Even providing coffee and breakfast and if you have also reserved the Mother’s Pampering Package, then Hair & Makeup are also provided on site as well.

Individual Portraits at the Studio

These photographs are either requested for personal branding elements for a website or promotional material such as a head shots, or could be a classic individual portrait session. Artist Portraits, First birthday, Beauty & Makeover Portraits, or just because. I believe the story of an individual deservers as much attention as part of the entire family portrait experience, if not more. As someone’s daughter or son, or father, grandfather, their are many people who will cherish these classic individual portraits of you. You matter to so many.

Angelsea Urban is a photographer and entrepreneur helping women use their creative gifts to nourish their homes and cultivate their businesses through practical stewardship. Her unique photography work focuses on Redefining the Family Portrait Experience by telling the story of  family through personalized foundations while creating a space to strengthen family bonds throughout the experience. Angelsea has helped the careers of photographers, restaurateurs, musicians and general small business owners through teaching, workshops and consulting. Her ministry work focuses on fostering creative gifts in women entrepreneurs to prioritize family and discipleship. She has photographed for families, brides, Bravo TV, NFL Films, and more and has been featured on multiple blogs and magazine print for her work in photography and in business. Angelsea teaches and photographs the United States, and resides with her husband of 17 years, their two children, and their barely 3 pound Yorkie near Long Beach Island, New Jersey.
